Terms of Service

#1. Acceptance of These Terms

1.1These Terms of Service (the "Terms") are a legal agreement between you and Vertx Team, an independent, unincorporated project ("Vertx", "we", "us" or "our"). They govern your access to and use of the Services.

1.2By adding Vertx to a Discord server, interacting with Vertx, or accessing or using any part of the Services, you confirm that you have read and agree to these Terms, the Privacy Policy, the Usage Policy and, where applicable, the Server Regulations (together, the "Policies"). If you do not agree, you must not use the Services.

1.3The Privacy Policy, the Usage Policy and the Server Regulations form part of these Terms. If they conflict, these Terms take priority, except that the Privacy Policy takes priority on matters concerning personal data.

#2. Definitions

2.1"Services" means the Vertx application for Discord (the "Bot"), including its support ticket, verification, moderation and logging features; the Vex assistant; the website at vertx.info and its subdomains; the official Vertx community server on Discord (the "Community Server"); and any related features, content or communications we provide.

2.2"User", "you" or "your" means any person who accesses or uses the Services.

2.3"User Content" means any text, message, file, image, link, profile information or other material that a User submits, uploads, posts or sends through the Services.

2.4"Vex" means the automated assistant provided by Vertx, including its artificial intelligence features.

2.5"Server Administrator" means a person who adds Vertx to a Discord server or manages its settings or permissions in that server.

#3. Eligibility

3.1You must be at least 13 years old, or the minimum age required in your country to consent to the processing of personal data, whichever is higher.

3.2If you are under the age of legal adulthood in your country, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3.3We will stop providing the Services to people who do not meet these requirements, and delete the related personal data in line with the Privacy Policy.

3.4You may not use the Services if you have previously been permanently banned from them, or if applicable law prohibits you from receiving them.

#4. Discord Accounts and Server Administrators

4.1You use the Services through your Discord account. You are responsible for keeping your Discord account secure and for all activity on it.

4.2Server Administrators are responsible for how Vertx is configured in their server, including its permissions and enabled features, and for telling their members that Vertx is used there.

4.3Server Administrators may not configure or use Vertx in a way that breaks these Policies, Discord's Terms of Service or Community Guidelines, or applicable law.

4.4You may not provide false information in support requests or verification, or use another person's account.

4.5Vertx staff will never ask for your password. Any such request should be treated as fraudulent and reported.

#5. Your Content

5.1You keep all ownership rights in your User Content.

5.2By submitting User Content, you give Vertx a worldwide, non-exclusive, royalty-free, non-transferable licence to host, store, copy, process, transmit and display it, and to allow our service providers to do so on our behalf, only as needed to operate, secure, maintain and improve the Services. This licence ends when the User Content is deleted from the Services, except for copies kept in backups or required by law for a limited time, and copies that other Users have forwarded or kept through the features of the Services.

5.3You confirm that you have all the rights needed to submit your User Content, and that it does not infringe anyone else's rights or break any law or the Policies.

5.4Vertx does not endorse User Content and is not responsible for it. We may monitor, review, restrict or remove User Content at our discretion, but we are not obliged to do so.

#6. Feedback

6.1Any suggestion, idea or other feedback you give us about the Services ("Feedback") is given voluntarily. We may use, change and implement Feedback for any purpose, without restriction, credit or payment to you, and Feedback is not treated as confidential.

#7. Acceptable Use

7.1Your use of the Services is subject to the Usage Policy and, in the Community Server, the Server Regulations.

7.2You may not use the Services in any way that breaks applicable law, infringes the rights of others, or interferes with the operation or security of the Services.

#8. Automated Systems and Artificial Intelligence

8.1The Services use automated systems, including Vex and automated moderation, which may analyse User Content to provide help and to detect and act on breaches of the Policies.

8.2Answers from Vex are for general information only, may be inaccurate or incomplete, and are not professional, legal, financial or other advice. They do not replace official communications from Vertx.

8.3Vertx staff can review and reverse automated actions. You may contest them as described in Section 11.

#9. Development Status

9.1The Services are under active development and testing. Features may be added, changed, paused or removed at any time, with or without notice.

9.2We do not guarantee the availability or preservation of any data or User Content. You are responsible for keeping your own copies of anything you want to keep.

#10. Fees

10.1The Services are currently free of charge.

10.2If we introduce paid features in the future, they will be covered by separate terms shown to you before purchase. You will never be charged without your prior, express consent.

10.3Vertx staff will never ask you to pay them directly. Any such request should be treated as fraudulent.

#11. Suspension, Termination and Appeals

11.1You may stop using the Services at any time, and a Server Administrator may remove Vertx from their server at any time. You may also ask us to delete your personal data, as described in the Privacy Policy.

11.2We may restrict, suspend or close your access to all or part of the Services, with or without notice, if we reasonably believe you have broken the Policies, that your conduct creates a risk or harm to other Users, to Vertx or to others, or where the law requires it.

11.3You may contest an enforcement action by opening a support ticket. We will review appeals in good faith, and our decision after review is final, to the extent the law allows.

11.4When your access ends, your right to use the Services ends immediately, and your personal data will be handled in line with the Privacy Policy.

11.5Sections 5.3, 5.4, 6, 8.2, 12, 13, 14, 15, 16 and 18, and any other provision that by its nature should continue, remain in effect after these Terms end.

#12. Intellectual Property

12.1The Services, including the Vertx name, logo, mascot, designs, software and related materials, but excluding User Content, belong to Vertx or its licensors and are protected by intellectual property laws.

12.2These Terms do not give you any right to use the Vertx name, logo, mascot or other brand features without our prior written permission.

#13. Third-Party Services

13.1The Services may work with or rely on third-party services, including Discord. Your use of those services is governed by their own terms and policies, and Vertx is not responsible for them.

#14. Disclaimer of Warranties

14.1To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. This includes any warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or error-free operation.

#15. Limitation of Liability

15.1To the fullest extent permitted by law, Vertx and its staff are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, profits, revenue or goodwill, arising from or connected with the Services.

15.2To the fullest extent permitted by law, the total liability of Vertx for all claims relating to the Services is limited to the greater of (a) the amounts you paid to Vertx for the Services in the twelve months before the claim, or (b) US$100.

15.3Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.

#16. Indemnity

16.1To the extent permitted by law, you agree to indemnify and hold harmless Vertx and its staff from any claims, losses, liabilities, damages and costs, including reasonable legal fees, arising from your User Content, your use of the Services, or your breach of the Policies, any law or anyone's rights.

#17. Changes to These Terms

17.1We may update these Terms from time to time. Material changes will be announced through the Services or the Community Server's updates channel before they take effect. Other changes take effect when published, as shown by the "Last Updated" date.

17.2By continuing to use the Services after updated Terms take effect, you accept them. If you do not accept them, you must stop using the Services.

#18. General

18.1Governing Law. These Terms are governed by the laws of Uruguay, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your country of residence provide otherwise.

18.2Disputes. Any dispute about these Terms should first be raised with us through a support ticket so we can try to resolve it in good faith. Disputes that cannot be resolved this way will be handled by the competent courts of Uruguay, subject to any mandatory rights you have under applicable law.

18.3Severability. If any part of these Terms is found invalid or unenforceable, it will be enforced as far as possible, and the rest of these Terms will remain in full effect.

18.4No Waiver. If we do not enforce a right or provision, that does not mean we have given it up.

18.5Transfer. You may not transfer these Terms without our prior written consent. We may transfer these Terms as part of a merger, acquisition, reorganisation or sale of assets.

18.6Events Beyond Our Control. We are not liable for any failure or delay caused by events beyond our reasonable control.

18.7Entire Agreement. These Terms and the Policies are the entire agreement between you and Vertx about the Services and replace any earlier agreements on that subject.

18.8Language. These Terms are written in English. Any translation is for convenience only, and the English version applies.

18.9Notices. We may send you notices through the Services, the Community Server or Discord direct messages.
